Articles of Association

Articles of Association for One Faith Ministries
The following are the legal and binding Articles of Association delegating One Faith Ministries an actual religious entity not incorporated and not for profit.

IN ORDER TO PURSUE THE PURPOSES OF YHVH and work toward establishing the Kingdom of YHVH among men, we the members of One Faith Ministries hereby adopt these Articles of Association creating the voluntary association of believers united for fellowship, worship, instruction in the Word of YHVH, and service to YHVH and our fellow man.

Article 1 - Name and Organization
SS 1.1 Name. The name of the organization is One Faith Ministries.
SS 1.2 Organization. The organization is organized as an unincorporated nonprofit association pursuant to Ala. Code § 10-3B-1 et seq. (1975).

Article 2 - Principle of Autonomy.
SS; 2.1 Yehoshua the Messiah Lord Over the Church (Hereafter read as Assembly or Body). As Yehoshua the Messiah is the Head of the Body Universal and the Head of every local body of believers, this congregation has a primary responsibility to Yehoshua, who is the Shepherd of our Souls.
SS 2.2 This Body Ecclesiastically Sovereign. As this congregation is sovereign under Messiah's Headship, and all ecclesiastical power is exercised by the Senior Elder and the Elders of this congregation, all decisions made shall not be subject to change or reversal by any other person or ecclesiastical body.
This local body is autonomous, but advice and counsel from qualified ministers of other churches and ministries of like principles and faith may be sought.

Article 3 - Purposes and Activities
SS 3.1 Purposes. The unincorporated nonprofit association is organized for religious and charitable purposes pursuant to Ala. Code SS 10-3B-2(4) (1975), to the extent that said purposes are consistent with IRC SS 501(c)(3) (1986), as amended, or any superseding statutes thereto.
SS 3.2 Activities. Pursuant to the purposes prescribed in SS 3.1 above, the organization shall conduct any and all activities deemed necessary and proper by the Elders consistent with the laws of the United States of America and the State of Alabama. Said activities shall include, but not be limited to:

(a) Local Assembly. The unincorporated nonprofit association shall form and operate a local assembly dedicated to the propagation of the Good News of Yehoshua the Messiah as Lord; teaching the Scriptures as the inspired and inerrant Word of YHVH; training and ordaining ministers of the Good News; training and encouraging persons in the operation of the faith of our Father, YHVH; providing a place of worship, study, and service for all persons; and engaging in religious and charitable work. Pursuant thereto, the following guidelines are observed:

(1) Recognized Creed. A recognized creed, code of doctrine, discipline,
and form of worship shall be established.

(2) Ecclesiastical Government. An ecclesiastical form of government shall be established according to the pattern of government established in the Scriptures.

(3) Ordination of Ministers. Ordination of ministers shall be accomplished
upon completion of the prescribed course of study designed and developed by the Elders.

(4) Organization of Ministers. An organization of ministers shall be established
to minister to the Body of the Messiah.

(5) Religious Instruction. Schools of religious instruction for children and adults
shall be established using any and all appropriate media available: classes,
conferences, seminars, radio, television, and any other appropriate media
hereafter discovered and established.

(6) Religious Literature. The assembly shall develop, publish, and distribute
literature in the form of books, pamphlets, audio and video tapes, and other
forms of mass media for the express purposes of educating persons with the Word of YHVH.

(7) Regular Services. The assembly shall establish regular religious services, classes, and functions pursuant to the recognized creed, form of worship, code of doctrine, and discipline of the Body and shall establish Shabbat Schools and religious schools for Believers and the educational instruction for young and old.

(8) Scripture Training Center. The assembly shall establish a Scripture Training Center for the preparation of ministers who minister to this Body and other Assemblies of
like faith and practice.

Article 4 - Duration
SS 4.1 Perpetual Duration. The duration of the assembly shall be perpetual, unless sooner dissolved by an act of its members.
SS 4.2 Dissolution Procedures. In the event of the dissolution of the assembly, assets of the organization shall be distributed to an assembly organized exclusively for the religious or charitable purposes similar to the purposes of this assembly so enumerated in SS 3.1 of these Articles of Association and recognized as an exempt organization under IRC SS 501(c)(3) (1986).

Article 5 - Powers and Responsibilities
SS 5.1 The Assembly shall reserve the right to exercise all powers accorded unincorporated nonprofit associations pursuant to Ala. Code. SS 10-3B-1 et seq. (1975), to the extent that said powers enable acts which are not inconsistent with IRC SS 501(c)(3) (1986).
SS 5.2 Private Inurement Prohibited. No part of the net earnings of the assembly shall inure to the benefit of, or be distributable to its members, directors, officers, or other private persons, except that the church shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in SS 3.1 of these Articles of Association. Any salaries, together with fringe benefits or other forms of compensation (housing, transportation, and other allowances) paid to or provided employees, directors, or officers, will not exceed a value which is reasonable and commensurate with the duties and working hours associated with such employment and with the compensation ordinarily paid persons with similar positions and duties
SS 5.3 Influencing Legislation Restricted. No substantial part of the activities of the assembly shall be the carrying on of propaganda, or otherwise attempting to influence legislation.
SS 5.4 Political Activities Prohibited. The assembly shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
SS 5.5 Activities Restricted to Exempt Purposes. Notwithstanding any other provision of these Articles of Association, the assembly shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under IRC § 501(c)(3) (1986), or (b) by a corporation, contributions to which are deductible under IRC § 170(c)(2) (1986).

Article 6 - Amendments
SS 6.1 Process of Amending Bylaws. These Bylaws may be amended by the Elders as follows:
(a) Introduction of Amendments. Proposed amendments shall be introduced for study and consideration in the annual meeting of the Elders. No amendments may be enacted at the same meeting in which they are introduced.
(b) Enactment of Amendments. Amendments shall be enacted at a special meeting for said purpose to be scheduled no less than one month and no more than six months from the date of introduction of the proposed amendment. Proposed amendments shall be considered in force if they are affirmed by three fifths of the members of the Elders present at the special meeting.

The forgoing Articles of Association are certified to have been adopted by the Elders of One Faith Ministries, on the twentieth day of April, 2003.
