Article 1 - Name and Organization
§ 1.1 Name. The name of the organization is One Faith Ministries.
§ 1.2 Organization. The organization is organized as an
unincorporated nonprofit association pursuant to
Ala. Code § 10-3B-1 et seq. (1975).
Article 2 - Principle of Autonomy.
§ 2.1 Jesus Christ Lord Over the Church. As Jesus Christ is
the Head of the Church Universal and the Head of every local
body of believers, this congregation has a primary responsibility
to Jesus, who is the Shepherd and Bishop of our Souls.
§ 2.2 This Church Ecclesiastically Sovereign. As this
congregation is sovereign under Christ's Headship, and all
ecclesiastical power is exercised by the Senior Pastor and the
Church Council of this congregation, all decisions made shall not
be subject to change or reversal by any other ecclesiastical body.
This local church is autonomous, but advice and counsel from
qualified ministers of other churches and ministries of like
principles and faith may be sought.
Article 3 - Purposes and Activities
§ 3.1 Purposes. The unincorporated nonprofit association is
organized for religious and charitable purposes pursuant to Ala.
Code § 10-3B-2(4) (1975), to the extent that said purposes are
consistent with IRC § 501(c)(3) (1986), as amended, or any
superseding statutes thereto.
§ 3.2 Activities. Pursuant to the purposes prescribed in § 3.1
above, the organization shall conduct any and all activities
deemed necessary and proper by the Church Council consistent
with the laws of the United States of America and the State of
Alabama. Said activities shall include, but not be limited to:
(a) Local Church. The unincorporated nonprofit association
shall form and operate a local church dedicated to the
propagation of the Gospel of the Lord Jesus Christ as Lord;
teaching the Bible as the inspired and inerrant Word of God;
training and ordaining ministers of the Gospel; training and
encouraging persons in the operation of the Christian faith;
providing a place of worship and Christian service for all
persons; and engaging in religious and charitable work.
Pursuant thereto, the following guidelines are observed:
(1) Recognized Creed. A recognized creed, code of doctrine, discipline,
and form of worship shall be established.
(2) Ecclesiastical Government. An ecclesiastical form of
government shall be established according to the pattern
of church government established in the Scriptures.
(3) Ordination of Ministers. Ordination of ministers shall be accomplished
upon completion of the prescribed course of study designed and developed
by the Church Council.
(4) Organization of Ministers. An organization of ministers shall be established
to minister to the congregation of the church.
(5) Religious Instruction. Schools of religious instruction for children and adults
shall be established using any and all appropriate media available: classes,
conferences, seminars, radio, television, and any other appropriate media
hereafter discovered and established.
(6) Religious Literature. The church shall develop, publish, and distribute
literature in the form of books, pamphlets, audio and video tapes, and other
forms of mass media for the express purposes of educating persons with the Word of God.
(7) Regular Services. The church shall establish regular religious services,
classes, and functions pursuant to the recognized creed, form of worship,
code of doctrine, and discipline of the Church and shall establish of Sunday
Schools and religious schools for Christians and the educational instruction
for young and old.
(8) Bible Training Center. The church shall establish a Bible Training Center for
the preparation of ministers who minister to this Church and other Churches of
like faith and practice.
Article 4 - Duration
§ 4.1 Perpetual Duration. The duration of the church shall be perpetual,
unless sooner dissolved by an act of its members.
§ 4.2 Dissolution Procedures. In the event of the dissolution of the
church, assets of the church shall be distributed to a church organized
exclusively for the religious or charitable purposes similar to the
purposes of this church so enumerated in § 3.1 of these Articles of
Association and recognized as an exempt organization under
IRC § 501(c)(3) (1986).
Article 5 - Powers and Responsibilities
§ 5.1 The Church shall reserve the right to exercise all powers
accorded unincorporated nonprofit associations pursuant to Ala.
Code. § 10-3B-1 et seq. (1975), to the extent that said powers enable
acts which are not inconsistent with IRC § 501(c)(3) (1986).
§ 5.2 Private Inurement Prohibited. No part of the net earnings of
the church shall inure to the benefit of, or be distributable to its
members, directors, officers, or other private persons, except that
the church shall be authorized and empowered to pay reasonable
compensation for services rendered and to make payments and distributions
in furtherance of the purposes set forth in § 3.1 of
these Articles of Association. Any salaries, together with fringe
benefits or other forms of compensation (housing, transportation,
and other allowances) paid to or provided employees, directors,
or officers, will not exceed a value which is reasonable and
commensurate with the duties and working hours associated with
such employment and with the compensation ordinarily paid
persons with similar positions and duties.
§ 5.3 Influencing Legislation Restricted. No substantial part of
the activities of the church shall be the carrying on of propaganda,
or otherwise attempting to influence legislation.
§ 5.4 Political Activities Prohibited. The church shall not participate
in, or intervene in (including the publishing or distribution of
statements) any political campaign on behalf of or in opposition to
any candidate for public office.
§ 5.5 Activities Restricted to Exempt Purposes. Notwithstanding
any other provision of these Articles of Association, the church
shall not carry on any other activities not permitted to be carried
on (a) by a corporation exempt from federal income tax under
IRC § 501(c)(3) (1986), or (b) by a corporation, contributions to
which are deductible under IRC § 170(c)(2) (1986).
Article 6 - Amendments
§ 6.1 Process of Amending Bylaws. These Bylaws may be
amended by the Church Council as follows:
(a) Introduction of Amendments. Proposed amendments shall
be introduced for study and consideration in the annual meeting
of the Church Council. No amendments may be enacted at the
same meeting in which they are introduced.
(b) Enactment of Amendments. Amendments shall be enacted
at a special meeting for said purpose to be scheduled no less
than one month and no more than six months from the date of
introduction of the proposed amendment. Proposed amendments
shall be considered in force if they are affirmed by three
fifths of the members of the Church Council present at the special meeting.
The forgoing Articles of Association are certified to have been
adopted by the Church Council of One Faith Ministries, on the
twentieth day of April, 2003.
